TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of www.amzllcprep.com (the “Site”) and the prep center, fulfillment and warehousing, LLC formation and business setup, Amazon brand approval, Walmart account management, eBay account management, Shopify management, and digital marketing services offered by AMZ LLC Prep (“AMZ LLC Prep,” “Company,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing the Site, requesting a quote, or engaging AMZ LLC Prep for any Service, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use the Site or the Services.

1. Eligibility

You must be at least 18 years old and have the authority to bind the business you represent in order to use the Services. By using the Services, you represent that all information you provide to us is accurate and that you have the legal right to sell the products you ask us to prep, store, or fulfill.

2. Description of Services

AMZ LLC Prep provides the following Services, as further described on the Site:

  • Prep center services for Amazon FBA, Walmart WFS, eBay, and Shopify, including receiving, inspecting, labeling, poly bagging, bundling, kitting, and shipping inventory
  • Fulfillment and warehouse services, including storage, picking, packing, and shipping for Amazon FBM, eBay, Walmart two-step dropshipping, and Shopify orders
  • US LLC formation and business setup, including EIN registration, seller permits, resale certificates, business bank account setup, Amazon account setup, and business email setup
  • Amazon brand approval support, including documentation review and compliance guidance
  • Walmart and eBay seller account management, including store setup, listing creation, inventory management, order processing, and performance monitoring
  • Shopify account management and digital marketing services, including branding, web design and development, SEO, PPC, social media marketing, content creation, and marketing automation

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Quotes, Fees, and Payment

Prep center pricing is charged per unit and not as a flat setup fee or monthly subscription unless otherwise agreed in writing. Published rates (such as per-unit FNSKU labeling or poly bagging fees) are estimates and subject to change; your actual quote will be confirmed before work begins. Free storage, where offered, applies only for the number of business days stated at the time of your quote; storage fees apply afterward. You agree to pay all fees associated with the Services you request, including any third-party costs such as shipping carrier charges, marketplace fees, or government filing fees for LLC formation. Invoices are due upon receipt unless otherwise agreed in writing. We may suspend Services for any account with an overdue balance.

4. Client Responsibilities

You are responsible for:

  • Providing accurate product, shipping, and account information
  • Ensuring the products you ship to us are legal to sell, properly declared, and not hazardous, counterfeit, or prohibited by the applicable marketplace
  • Complying with all Amazon, Walmart, eBay, Shopify, and other marketplace policies applicable to your account
  • Providing any documents, access, or approvals needed for LLC formation, brand approval, or account management services
  • Reviewing and approving prep, listing, or marketing work product within any timeframe we specify
5. Inventory, Storage, and Shipment

We will use commercially reasonable efforts to prep and ship inventory in accordance with the applicable marketplace’s requirements and within the turnaround times stated at the time of your quote; however, turnaround and delivery times are estimates and not guaranteed. We are not responsible for delays, rejections, or additional fees caused by a marketplace’s own policies, system changes, carrier delays, customs issues, or inaccurate or incomplete information provided by you. Title to inventory remains with you at all times. If inventory is abandoned or storage fees remain unpaid beyond a reasonable period after notice, we reserve the right to dispose of or liquidate the inventory to recover unpaid fees, to the extent permitted by law.

6. LLC Formation and Compliance Services

AMZ LLC Prep assists with the preparation and filing of LLC formation and related compliance documents (such as EIN applications, seller permits, and resale certificates) on your behalf. We are not a law firm, do not provide legal or tax advice, and do not guarantee approval, timing, or outcome of any filing, as these are ultimately determined by government agencies, banks, and marketplaces outside our control. You are solely responsible for the ongoing legal, tax, and regulatory compliance of your business. We recommend that you consult a licensed attorney or accountant for legal or tax advice specific to your situation.

7. Marketplace Account Management

Our Walmart, eBay, and Shopify account management, and Amazon brand approval services are provided to support your seller account; we do not own, control, or guarantee the performance, approval, ranking, or status of any marketplace account. Marketplaces such as Amazon, Walmart, eBay, and Shopify set and enforce their own policies, and account suspensions, listing removals, or approval decisions are made solely by those platforms. AMZ LLC Prep is not affiliated with, endorsed by, or sponsored by Amazon, Walmart, eBay, Shopify, or any other third-party marketplace referenced on the Site.

8. Cancellations and Refunds

Because prep, fulfillment, filing, and marketing work often begins promptly after a request is confirmed, fees for work already performed or filings already submitted are non-refundable. You may cancel ongoing or recurring Services by providing written notice; cancellation will take effect at the end of the then-current billing or work cycle unless otherwise agreed. Specific cancellation and refund terms for a given engagement will be set out in your quote or service agreement, which will control over this general provision if there is a conflict.

9. Intellectual Property

The Site, including its text, graphics, logos, and design, is owned by or licensed to AMZ LLC Prep and is protected by intellectual property laws. You may not copy, reproduce, or use our content or branding without prior written permission. Any content, branding, or creative assets we develop for you as part of digital marketing Services will be assigned or licensed to you as specified in your service agreement, once all applicable fees have been paid in full.

10. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT ANY MARKETPLACE ACCOUNT, LISTING, LLC FILING, OR MARKETING CAMPAIGN WILL ACHIEVE ANY PARTICULAR RESULT, APPROVAL, OR LEVEL OF SALES.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AMZ LLC PREP AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SITE OR THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO AMZ LLC PREP FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless AMZ LLC Prep and its owners, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your products, your use of the Services, your breach of these Terms, or your violation of any marketplace policy or applicable law.

13. Third-Party Platforms and Links

The Site may link to or integrate with third-party platforms such as Amazon, Walmart, eBay, Shopify, WhatsApp, and social media services. We are not responsible for the content, policies, availability, or practices of these third parties.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state or federal courts located in Los Angeles County, California, unless the parties agree in writing to an alternative dispute resolution method such as mediation or arbitration.

15. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date at the top of this page reflects the most recent revision. Continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.

16. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with any signed service agreement or quote, constitute the entire agreement between you and AMZ LLC Prep regarding the Services and supersede any prior agreements on the same subject.
